Terms of Use
Effective date: July 24, 2026
These Terms of Use govern your access to and use of Orders.Clinic, including our websites, account portals, practitioner-verification tools, ordering functionality, communications, and related services.
1. Acceptance of these Terms
These Terms of Use constitute a legally binding agreement between you and Clinic Protocols LLC, a Nevada limited liability company doing business as Orders.Clinic. In these Terms, “Orders.Clinic,” “Clinic Protocols,” “we,” “us,” and “our” refer to Clinic Protocols LLC and, where applicable, its affiliates, contractors, service providers, and authorized representatives.
By visiting Orders.Clinic, creating an account, submitting an application, accepting an invitation, accessing an account portal, placing an order, or otherwise using any part of the platform, you acknowledge that you have read, understood, and agreed to these Terms of Use.
These Terms also incorporate by reference our Privacy Policy, Notice of Privacy Practices where applicable, Cookie Policy, Shipping Policy, Refund Policy, Telehealth Consent, Informed Consent, HIPAA Authorization, and any additional terms presented in connection with a particular product, service, account, transaction, or program.
If you do not agree to these Terms, you may not access or use Orders.Clinic.
If you access or use Orders.Clinic on behalf of a clinic, medical practice, healthcare organization, employer, company, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.
2. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to create or maintain an Orders.Clinic account.
Practitioner access is limited to individuals who possess the professional qualifications, licenses, registrations, certifications, credentials, and legal authority required for the activities they perform through the platform.
Practice personnel may access Orders.Clinic only when authorized by an approved practitioner or practice and only within the scope of their assigned responsibilities.
Patient access may require an invitation, an established practitioner relationship, identity verification, account approval, completion of required consents, or another authorization process determined by Orders.Clinic or the applicable healthcare practice.
Products, services, and platform features may be unavailable in certain jurisdictions or to certain types of users.
We may refuse, restrict, suspend, or revoke access when eligibility requirements are not satisfied, cannot be verified, or are no longer maintained.
3. Account registration and security
You agree to provide complete, current, accurate, and truthful information when creating, applying for, or maintaining an account.
Information requested may include your legal name, professional email address, clinic or practice information, phone number, National Provider Identifier, professional credentials, licensing information, billing information, shipping information, and other verification details.
You must promptly update your account if any submitted information changes.
You are responsible for maintaining the confidentiality and security of your username, password, authentication credentials, access codes, devices, and account.
Individual login credentials may not be shared with another person. Each authorized user must access the platform using their own assigned credentials.
You are responsible for all activity conducted through your account unless you promptly notify us that your credentials or account have been compromised.
You must immediately notify Orders.Clinic if you suspect unauthorized access, credential theft, fraudulent activity, improper disclosure, or another security incident involving your account.
We may require password resets, multifactor authentication, identity verification, or additional security measures at any time.
4. Practitioner verification and approval
Submitting a practitioner application does not guarantee approval and does not immediately activate purchasing, ordering, prescribing, recommending, or patient-management privileges.
We may review and verify information submitted by an applicant, including the applicant’s identity, professional credentials, National Provider Identifier, licenses, practice affiliation, contact information, disciplinary history, and professional authority.
Verification may be performed by Orders.Clinic, a clinic, a supplier, a pharmacy, a laboratory, a credentialing service, a governmental database, or another authorized third party.
We may request additional information or documentation before approving or maintaining an account.
Practitioners must immediately notify us of any expiration, lapse, restriction, investigation, suspension, surrender, revocation, disciplinary proceeding, or other material change affecting a professional license, registration, certification, NPI record, prescribing authority, practice affiliation, or scope of practice.
Orders.Clinic may approve, reject, suspend, limit, or revoke practitioner access whenever reasonably necessary to protect patients, platform users, suppliers, business partners, or legal and regulatory compliance.
5. Role of Orders.Clinic
Orders.Clinic provides technology, administrative, account-management, communication, commerce, verification, and ordering tools that may be used by healthcare practitioners, medical practices, patients, suppliers, pharmacies, laboratories, manufacturers, distributors, fulfillment providers, and other authorized participants.
Unless expressly stated otherwise in a separate written agreement, Orders.Clinic does not independently establish a practitioner-patient relationship, diagnose a condition, provide medical advice, prescribe treatment, compound a medication, dispense a prescription, administer a product, or replace the professional judgment of a licensed healthcare practitioner.
Healthcare decisions must be made by the patient and an appropriately licensed healthcare practitioner based on the patient’s individual condition, history, examination, laboratory findings, treatment goals, and other relevant circumstances.
The availability of a product, service, educational resource, protocol, communication, or ordering function through Orders.Clinic does not constitute a recommendation that it is appropriate, safe, lawful, or medically necessary for a particular person.
6. Independent platform and third-party participants
Orders.Clinic may facilitate interactions and transactions among qualified healthcare professionals, patients, practices, manufacturers, suppliers, pharmacies, laboratories, distributors, fulfillment providers, payment processors, and other authorized partners.
Unless expressly stated otherwise in writing, Orders.Clinic is not the manufacturer, dispensing pharmacy, prescribing practitioner, treating provider, laboratory, carrier, or fulfillment provider responsible for a product or professional service.
Third-party participants remain independently responsible for their products, professional services, licenses, clinical decisions, manufacturing practices, dispensing activities, fulfillment obligations, product warranties, regulatory compliance, and legal duties.
Orders.Clinic may restrict, suspend, refuse, or cancel access to any account, product, order, service, or transaction when reasonably necessary to comply with applicable law, contractual requirements, patient-safety considerations, supplier restrictions, or platform-security obligations.
7. Practitioner responsibilities
Practitioners using Orders.Clinic remain solely responsible for exercising independent professional judgment and complying with all laws, regulations, licensing requirements, professional standards, ethical obligations, scope-of-practice limitations, documentation requirements, prescribing requirements, informed-consent duties, and patient-care responsibilities applicable to their activities.
A practitioner is solely responsible for determining whether a product, service, protocol, prescription, recommendation, or order is clinically appropriate and legally permitted for a patient.
Practitioners are responsible for evaluating each patient, obtaining an appropriate medical history, identifying allergies and contraindications, reviewing medications and interactions, maintaining required documentation, obtaining required consent, and providing appropriate follow-up care.
Practitioners must maintain any patient records, medical documentation, evaluations, prescriptions, consents, authorizations, treatment plans, monitoring, and follow-up procedures required by law or professional standards.
Practitioners may not use Orders.Clinic to engage in unlawful prescribing, dispensing, purchasing, resale, diversion, misbranding, fraud, unauthorized practice, or activity outside their authorized scope of practice.
Practitioners are responsible for supervising practice personnel who access Orders.Clinic under their authority.
Practitioners must ensure that patient information entered into the platform is accurate, relevant, authorized, and handled in accordance with applicable privacy and confidentiality requirements.
8. Practice personnel and delegated users
A practitioner or practice may authorize certain employees, contractors, or other personnel to access designated platform features.
Delegated users may act only within the authority assigned to them and may not independently perform activities requiring a professional license or clinical judgment.
The authorizing practitioner or practice is responsible for ensuring that delegated users are properly trained, appropriately supervised, and permitted to access relevant information.
Access must be promptly removed when a delegated user no longer requires access, leaves the practice, changes roles, or is no longer authorized.
9. Patient and customer responsibilities
Patients and customers must provide accurate, complete, and current information to their healthcare practitioners and to Orders.Clinic when requested.
Patients must follow the instructions provided by their healthcare practitioner and any applicable product manufacturer, pharmacy, laboratory, supplier, or fulfillment provider.
You should contact a qualified healthcare professional with questions about symptoms, diagnosis, treatment, side effects, contraindications, allergies, dosage, administration, interactions, pregnancy, nursing, or your individual medical circumstances.
Do not disregard professional medical advice or delay seeking care because of information viewed through Orders.Clinic.
Orders.Clinic is not an emergency service. If you believe you are experiencing a medical emergency, call 911 or seek immediate emergency care.
10. Telehealth and remote services
Certain practitioners or practices may provide telehealth, remote consultation, asynchronous review, messaging, or other remote healthcare services in connection with Orders.Clinic.
Any professional healthcare service is provided by the applicable practitioner or medical practice, not by Orders.Clinic, unless expressly disclosed otherwise.
Telehealth availability may depend on the patient’s physical location, the practitioner’s licensure, applicable law, the patient’s condition, and the practitioner’s clinical judgment.
Patients may be required to complete a separate Telehealth Consent or Informed Consent before receiving remote healthcare services.
A practitioner may determine that telehealth is not appropriate and may require an in-person examination, additional testing, referral, or emergency care.
11. Orders and product availability
All orders are subject to account eligibility, practitioner approval where applicable, product availability, applicable purchasing restrictions, payment authorization, verification, supplier acceptance, fulfillment requirements, and applicable law.
Adding a product to a cart, submitting an order request, or receiving an automated confirmation does not guarantee that an order has been accepted or will be fulfilled.
An order may require review or approval by a practitioner, supplier, pharmacy, laboratory, manufacturer, fulfillment provider, or other authorized participant.
We may limit quantities, request additional documentation, place an order on hold, decline a transaction, substitute an available product when authorized, or cancel an order when reasonably necessary.
Certain products may be available only to approved practitioners, eligible patients, specific practices, authorized jurisdictions, or users who have completed additional documentation or verification.
Product descriptions, images, packaging, labels, ingredients, specifications, availability, instructions, and pricing may change without notice.
We attempt to present product information accurately but do not warrant that all product descriptions, images, prices, packaging, or other information are complete, current, or error-free.
12. Regulated and restricted products
Certain products may be subject to federal, state, local, professional, supplier, manufacturer, pharmacy, or carrier restrictions.
Availability through the platform does not guarantee that a product may lawfully be purchased, prescribed, dispensed, shipped, received, recommended, administered, or used in every jurisdiction or by every person.
Users are responsible for complying with all laws and professional obligations applicable to their activities.
We may require evidence of licensure, authority, patient eligibility, medical necessity, informed consent, prescription documentation, shipping eligibility, or another condition before processing a transaction.
Orders.Clinic may remove or restrict a product without advance notice when required by law, a governmental authority, a supplier, a manufacturer, a pharmacy, a fulfillment provider, or a safety consideration.
13. Pricing, billing, and payment
You agree to pay all charges associated with transactions placed through your account, including applicable product charges, service charges, consultation charges, taxes, shipping costs, processing fees, and other amounts disclosed before completion of the transaction.
Prices may change at any time before an order is accepted.
If a pricing, product, promotional, or technical error occurs, we may correct the error and cancel or modify the affected transaction, even after an automated confirmation has been issued.
You authorize Orders.Clinic and its payment-processing providers to charge the payment method you submit for authorized transactions.
You represent that you are authorized to use the submitted payment method and that the billing information you provide is accurate.
If a payment is declined, reversed, disputed, charged back, or determined to be unauthorized, we may suspend fulfillment, cancel an order, restrict account access, recover amounts owed, or pursue other available remedies.
14. Payment disputes and chargebacks
You agree to contact Orders.Clinic support before initiating a payment dispute or chargeback so that we have an opportunity to investigate and address the issue.
Submitting a knowingly false, fraudulent, or misleading chargeback may result in suspension or termination of your account and recovery of associated costs.
Nothing in this section limits any nonwaivable right you may have under applicable law or the rules of your payment-card issuer.
15. Recurring orders and subscriptions
If recurring-order or subscription functionality is offered, the applicable frequency, price, renewal terms, billing date, cancellation procedures, and other material conditions will be disclosed before enrollment.
By enrolling, you authorize recurring charges using your selected payment method until the subscription is canceled, expires, or is otherwise terminated.
Subscription prices, product availability, and shipping charges may change as disclosed to you.
Changes, skips, pauses, or cancellations must be submitted before the applicable order-processing deadline.
An order that has already entered review, processing, preparation, dispensing, packaging, or fulfillment may not be cancelable.
Recurring fulfillment may remain subject to continuing practitioner authorization, patient eligibility, product availability, and applicable law.
16. Shipping and delivery
Shipping and delivery estimates are provided for convenience and are not guarantees.
Delivery timing may be affected by carrier operations, inventory, verification, weather, holidays, regulatory requirements, product-handling requirements, destination restrictions, supply-chain disruptions, or circumstances outside our control.
You are responsible for providing a complete and accurate delivery address and for ensuring that an authorized recipient is available when required.
Certain products may require temperature control, signature confirmation, identification, restricted delivery, immediate refrigeration, or other special handling.
You must inspect deliveries promptly and follow all product-specific storage and handling instructions.
Shipping and delivery are also governed by our Shipping Policy and any product-specific terms disclosed during checkout.
17. Returns, replacements, cancellations, and refunds
Returns, replacements, cancellations, and refunds are governed by our Refund Policy, Shipping Policy, and any product-specific restrictions disclosed during the transaction.
Healthcare-related, prescription, compounded, customized, temperature-sensitive, sterile, perishable, opened, used, or safety-sensitive products may be nonreturnable.
An order may not be canceled after it has entered review, preparation, dispensing, packaging, or fulfillment.
You must notify Orders.Clinic promptly if an order is missing, damaged, incorrect, compromised, delayed, or delivered in an unacceptable condition.
Do not use a product that appears damaged, tampered with, improperly stored, mislabeled, expired, or otherwise unsafe.
18. Electronic communications
By using Orders.Clinic, you consent to receive transactional, clinical-administrative, security, and account-related communications electronically.
Communications may include account notices, verification requests, security alerts, approval-status updates, order confirmations, payment notices, fulfillment updates, consent documents, policy notices, and support communications.
You are responsible for maintaining a current email address and phone number and for reviewing communications sent to your account.
Marketing communications, where used, will be managed in accordance with applicable law and the communication preferences made available to you.
Standard messaging, data, internet, and carrier charges may apply.
19. Privacy and health information
Our collection, use, disclosure, retention, and protection of personal information are described in our Privacy Policy and, where applicable, our Notice of Privacy Practices.
The legal treatment of information may depend on the identity and role of the party collecting, receiving, maintaining, or processing it.
Where Clinic Protocols LLC acts as a business associate for a covered entity, the applicable business associate agreement may establish additional responsibilities and restrictions.
You may not upload, access, use, or disclose patient information or health information through Orders.Clinic unless you are legally authorized to do so and have complied with applicable privacy, security, confidentiality, consent, and minimum-necessary requirements.
You must not use Orders.Clinic to access information relating to a patient, practitioner, practice, employee, or other person for personal curiosity, competitive purposes, harassment, or another unauthorized purpose.
20. Acceptable use
You may use Orders.Clinic only for lawful, authorized, and intended purposes.
You may not:
- Access an account, record, order, patient profile, practitioner profile, or system without authorization.
- Impersonate another person or misrepresent your identity, credentials, authority, affiliation, licensure, professional status, or relationship with a patient or practice.
- Submit false, misleading, fraudulent, incomplete, forged, or altered information or documentation.
- Share individual login credentials or permit unauthorized persons to use your account.
- Use the platform to facilitate unlawful prescribing, purchasing, dispensing, distribution, diversion, resale, recommendation, or administration of a product.
- Attempt to bypass an approval, verification, geographic, purchasing, prescribing, product, quantity, eligibility, or access restriction.
- Interfere with platform operation, security, availability, performance, integrity, or another user’s access.
- Introduce malware, ransomware, viruses, harmful code, automated attacks, scraping tools, unauthorized bots, or other disruptive technology.
- Probe, scan, test, or attempt to circumvent a vulnerability, security control, authentication system, rate limit, or access control.
- Reverse engineer, decompile, disassemble, copy, reproduce, modify, sublicense, resell, or commercially exploit the platform except as expressly permitted by law or written authorization.
- Use information obtained through the platform to harass, discriminate against, exploit, compete unfairly with, or harm another person or entity.
- Use Orders.Clinic in a manner that violates applicable law, professional standards, contractual obligations, intellectual-property rights, privacy rights, or confidentiality duties.
21. Monitoring, investigations, and enforcement
To protect the platform and its users, Orders.Clinic may monitor account activity, security events, access logs, ordering patterns, system usage, and compliance-related information to the extent permitted by law.
We may investigate suspected fraud, abuse, security incidents, credential misuse, diversion, unlawful activity, or violations of these Terms.
We may preserve records, restrict access, suspend transactions, cooperate with affected organizations, and disclose information to governmental authorities or other authorized parties when legally permitted or required.
22. Intellectual property
Orders.Clinic and its licensors own the platform, software, user interface, branding, logos, designs, graphics, text, workflows, databases, documentation, and other platform materials, excluding content owned by users or third parties.
Subject to these Terms, we grant you a limited, revocable, nonexclusive, nontransferable, and nonsublicensable license to access and use the platform for its intended purpose.
No ownership rights are transferred to you.
The Orders.Clinic name, Clinic Protocols name, logos, trade dress, and related marks may not be copied, displayed, modified, or used without prior written permission.
Third-party product names, trademarks, logos, and content remain the property of their respective owners.
23. Information and content submitted by users
You retain ownership of information and content that you lawfully submit, subject to the rights reasonably required for us to operate the platform.
You grant Clinic Protocols LLC a limited, nonexclusive right to host, store, process, transmit, reproduce, format, and otherwise use submitted content as reasonably necessary to provide, secure, administer, support, and improve Orders.Clinic, complete authorized transactions, and comply with legal obligations.
You represent and warrant that you have all rights, permissions, authorizations, and consents required to submit and use the information you provide.
You may not submit content that is unlawful, fraudulent, defamatory, threatening, infringing, malicious, deceptive, or otherwise inappropriate.
24. Third-party services and websites
Orders.Clinic may integrate with or provide access to third-party services, including payment processors, manufacturers, suppliers, pharmacies, laboratories, carriers, fulfillment providers, identity-verification services, communication platforms, hosting providers, and other technology providers.
Third-party products and services may be governed by separate terms, policies, warranties, and privacy practices.
Orders.Clinic is not responsible for the independent acts, omissions, professional services, clinical decisions, product warranties, system availability, security practices, fulfillment performance, or policies of third parties, except to the extent responsibility cannot legally be excluded.
A link to a third-party website or service does not necessarily constitute endorsement or control of that third party.
25. Platform availability and changes
We may modify, update, replace, suspend, restrict, or discontinue any part of Orders.Clinic at any time.
We do not guarantee uninterrupted, secure, timely, or error-free availability.
Maintenance, software updates, third-party outages, security events, regulatory requirements, technical issues, and circumstances outside our control may affect platform access.
You are responsible for maintaining appropriate devices, connectivity, software, cybersecurity controls, and backups necessary to use the platform.
We may change or remove platform features without creating an obligation to continue supporting a prior version or function.
26. Disclaimers
To the fullest extent permitted by law, Orders.Clinic and its services are provided on an “as is” and “as available” basis.
We disclaim all warranties not expressly stated in a written agreement, including implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, security, availability, compatibility, and uninterrupted operation.
We do not warrant that a particular product, service, protocol, prescription, recommendation, or outcome is appropriate for a specific person or will produce a particular medical, clinical, health, financial, or business result.
Nothing available through Orders.Clinic constitutes a guarantee of treatment results, product performance, patient outcomes, regulatory approval, insurance coverage, reimbursement, availability, or continued access.
Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply to you.
27. Limitation of liability
To the fullest extent permitted by law, Clinic Protocols LLC and its affiliates, owners, officers, directors, managers, employees, contractors, licensors, suppliers, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.
This includes loss of profits, revenue, data, goodwill, business opportunity, anticipated savings, or use, even if advised that such damages were possible.
This limitation applies to claims arising from or related to platform access, account restrictions, practitioner decisions, patient care, orders, products, communications, third-party services, unauthorized access, data loss, security incidents, delays, interruptions, product availability, fulfillment, shipping, or reliance on information made available through the platform.
To the fullest extent permitted by law, the aggregate liability of Clinic Protocols LLC for claims arising from or related to Orders.Clinic will not exceed the greater of:
- The amount you paid directly to Clinic Protocols LLC during the six months preceding the event giving rise to the claim; or
- One hundred United States dollars.
These limitations do not apply where prohibited by law or to liability that cannot lawfully be limited.
28. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Clinic Protocols LLC and its affiliates, owners, officers, directors, managers, employees, contractors, licensors, suppliers, and service providers from claims, losses, liabilities, damages, judgments, penalties, costs, and reasonable attorneys’ fees arising from or related to:
- Your violation of these Terms or another applicable policy.
- Your unlawful, negligent, fraudulent, or unauthorized use of Orders.Clinic.
- Information, instructions, records, or content you submit.
- Your violation of another person’s privacy, intellectual-property, contractual, professional, or other rights.
- Your professional services, clinical decisions, patient relationship, prescribing, ordering, recommendation, dispensing, administration, treatment, or supervision activities.
- Your failure to maintain required licenses, credentials, documentation, consent, authorization, or security controls.
- Fraud, negligence, willful misconduct, regulatory noncompliance, or security incidents attributable to you or your authorized users.
29. Suspension and termination
You may stop using Orders.Clinic at any time, subject to outstanding orders, payment obligations, professional duties, record-retention requirements, and other continuing responsibilities.
We may suspend, restrict, or terminate access if we reasonably believe that:
- You violated these Terms or another applicable policy.
- Your identity, credentials, authority, or submitted information cannot be verified.
- Your professional authority has expired, changed, become restricted, or is under investigation.
- Your account creates a security, patient-safety, fraud, legal, regulatory, financial, or operational risk.
- Payment obligations remain unpaid or a transaction is disputed.
- Your account has been inactive for an extended period.
- Suspension or termination is required by law, a governmental authority, supplier, pharmacy, laboratory, manufacturer, fulfillment provider, payment processor, or contractual obligation.
Termination does not eliminate obligations or liabilities arising before termination.
Provisions that by their nature should survive termination will remain effective, including provisions addressing intellectual property, confidentiality, privacy, payments, disclaimers, liability, indemnification, dispute resolution, and governing law.
30. Geographic restrictions and export controls
Orders.Clinic is operated from the United States and is primarily intended for authorized users located within jurisdictions where its services and available products may lawfully be offered.
You may not access or use Orders.Clinic in violation of applicable trade restrictions, export controls, sanctions, or other laws.
You are responsible for determining whether your access, transaction, shipment, or use is lawful in your jurisdiction.
31. Events beyond our control
Clinic Protocols LLC will not be responsible for delay, interruption, nonperformance, or failure caused by events beyond its reasonable control.
Such events may include natural disasters, severe weather, public-health emergencies, epidemics, pandemics, war, terrorism, civil unrest, labor disputes, transportation interruptions, carrier delays, supply shortages, utility failures, internet outages, cyberattacks, governmental actions, regulatory changes, or failures of third-party providers.
32. Governing law and venue
These Terms of Use are governed by and interpreted in accordance with the laws of the State of Nevada, without regard to conflict-of-law principles.
Unless otherwise required by applicable law or agreed in writing, any legal action or proceeding arising out of or relating to these Terms or your use of Orders.Clinic must be brought exclusively in a state or federal court with jurisdiction in Clark County, Nevada.
You and Clinic Protocols LLC consent to the personal jurisdiction and venue of those courts and waive any objection based on inconvenient forum or similar doctrine.
33. Changes to these Terms
We may update these Terms periodically to reflect changes to Orders.Clinic, our business operations, available products and services, legal requirements, or applicable practices.
When we make material changes, we may provide notice through the platform, by email, through an account notification, or by updating the effective date shown at the top of this page.
Unless otherwise stated, updated Terms become effective when posted.
Your continued use of Orders.Clinic after updated Terms become effective constitutes acceptance of the updated Terms.
34. General provisions
If any provision of these Terms is held invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in effect.
Our failure to enforce a provision is not a waiver of our right to enforce that or another provision later.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
Clinic Protocols LLC may assign or transfer these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, corporate restructuring, or transfer of the Orders.Clinic platform.
Headings are provided for convenience and do not affect interpretation.
These Terms, together with the policies and agreements incorporated by reference, constitute the entire agreement between you and Clinic Protocols LLC concerning your use of Orders.Clinic unless a separate signed agreement applies.
